Terms of service

1. Acceptance of terms

By creating an account, accessing, or using the Cosmos Connect service ("Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy policy, and Meta's WhatsApp Business Terms. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.

2. The service

Cosmos Connect is a software-as-a-service platform provided by Graphicosmos ("we", "us", "our") that lets businesses communicate with their customers through the WhatsApp Business Platform. Features include a shared team inbox, message automation, booking management, broadcast messaging, and analytics.

We provide the Service on an "as available" basis. We may add, modify, or discontinue features at any time; where changes materially reduce Service functionality on your current plan, we will give at least 30 days' notice.

3. Your account

• You must provide accurate and complete information when creating an account.
• You are responsible for keeping your account credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old and legally able to enter into a contract.
• Notify us immediately at hello@cosmosconnect.io if you suspect unauthorised access to your account.

4. Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited marketing messages, or messages to recipients who have not opted in
• Send messages that are illegal, deceptive, defamatory, obscene, or harmful
• Impersonate any person or entity, or misrepresent your affiliation
• Distribute malware, phishing attempts, or fraudulent content
• Harvest or collect personal information about End Users without their consent
• Circumvent rate limits, quotas, or other technical restrictions of the Service
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to compete directly with us or to build a competing product
• Violate any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate this section, without notice in serious cases.

5. WhatsApp compliance

The Service is built on Meta's WhatsApp Business Platform. Your use of the Service is also subject to:

• Meta's WhatsApp Business Terms
• Meta's WhatsApp Business Messaging Policy
• The opt-in requirements for messaging End Users

You are solely responsible for obtaining valid opt-in from End Users before sending them any WhatsApp messages. Violation of Meta's policies can result in suspension of your WhatsApp Business Account by Meta, which is outside our control. Repeated violations may also result in suspension of your Cosmos Connect account.

6. Billing & payments

• Subscription fees are billed monthly in advance, in Indian Rupees, unless otherwise agreed.
• Payment is processed by Razorpay. By providing payment details, you authorise recurring charges on the schedule of your chosen plan.
• Fees are non-refundable except as expressly set out in section 7.
• If a payment fails, we will retry for up to 7 days. If payment still fails, the Service may be suspended. Data is retained for 30 days after suspension before deletion.
• Applicable taxes (GST, etc.) are added to invoices as required by law.
• WhatsApp conversation charges (per-conversation fees set by Meta) are billed directly by Meta to your WhatsApp Business Account. We do not process or mark up these charges.

7. Refunds

We offer a 14-day free trial. Once the trial ends and paid billing begins, subscription fees are generally non-refundable. Exceptions:

• If we materially fail to provide the Service for more than 48 continuous hours in a billing cycle, you may request a pro-rata refund for the affected period.
• If we terminate your account without cause, you receive a pro-rata refund for the unused portion of your current billing cycle.
• Refund requests must be made within 30 days of the event, via hello@cosmosconnect.io.

8. Intellectual property

Our IP: All software, design, trademarks, and content associated with Cosmos Connect are owned by Graphicosmos or our licensors. Nothing in these Terms transfers ownership to you.

Your IP: You retain all rights to the content you create using the Service — your customer data, messages, templates, and business information. You grant us a limited licence to host, process, and display this content solely as needed to provide the Service.

Feedback: If you send us suggestions or feedback, we may use them without restriction and without owing you anything.

9. Your data

Your data belongs to you. See our Privacy policy for full details on how we collect, use, and protect it. Key points:

• We act as a data processor for End User data, following your instructions.
• You can export your data (JSON / CSV) at any time from the Service or by request.
• You can delete your account and associated data by following our Data deletion instructions.
• We do not sell your data or use it to train AI models.

10. Termination

By you: Cancel any time from your Billing settings or by writing to hello@cosmosconnect.io. You retain access until the end of your paid billing period.

By us: We may suspend or terminate your account for:

• Violation of these Terms or the WhatsApp compliance section
• Non-payment after grace period
• Legal, regulatory, or Meta-driven requirements
• Extended inactivity (12+ months)

On termination: we delete your data 30 days after account closure unless legally required to retain it (e.g., tax records).

11. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind.
• We are not liable for indirect, incidental, consequential, or punitive damages.
• Our total aggregate liability in any 12-month period is limited to the fees you paid us in that period.
• We are not liable for third-party services (Meta, Razorpay, cloud providers) or for suspension of your WhatsApp Business Account by Meta.
• We are not liable for loss of data caused by your own actions (e.g., accidental deletion).

12. Indemnification

You agree to indemnify and hold harmless Graphicosmos, its affiliates, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Content you send through the Service
• Your violation of applicable law or Meta's WhatsApp policies
• Your infringement of third-party rights

13. Disputes & jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of the Service will be resolved by:

• Good-faith negotiation between the parties for at least 30 days
• If negotiation fails, binding arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by mutual agreement, seated in Gurugram, Haryana
• The courts of Gurugram, Haryana have exclusive jurisdiction over matters not subject to arbitration

14. Changes to these terms

We may update these Terms. Material changes will be announced by email to Customer account holders at least 30 days before taking effect. If you don't agree to the changes, you may cancel your account before they take effect — otherwise, continued use constitutes acceptance.
